Translate

Faraday Future Intelligent Electric (FFAI) and FF EAI Robotics Ecosystem (FFR) signed definitive agreements for FFR to acquire FFAI’s robotics business at an agreed valuation of ~$200M.

FFR will issue shares to FFAI at $2.246 per share, representing a premium of ~50% to FFR's closing price on October 12, 2026. Separately, FFR has secured its first round of PIPE financing of up to $10M. The financing is priced at market, with no discount or no warrants.

The deal is expected to close by the end of October 2026, with FFAI retaining a 65.7% stake in FFR, management and employees ~18.2%, PIPE investors ~5.5%, and other FFR stockholders ~10.7%.

FFAI’s robotics business generated approximately $1.52M in cumulative revenue, with average gross margins above 30% in Q2. Management projects robotics revenue of $7M in 2026 and $45M in 2027, with cumulative revenue from 2026 through 2030 forecast at approximately $1.98B.

FFR shares fell nearly 5% premarket.
