SonicStrategy announces amended terms of private placement of up to $4.5M
SonicStrategy (SONIF) has amended the terms of its previously announced $4.5M non-brokered private placement to accept subscriptions paid directly in digital assets alongside traditional cash financing.
Under the updated structure, the $4.5M offering will be divided equally into up to $2.25M raised via cash subscriptions and up to $2.25M raised via subscriptions paid in digital assets.
The cash portion consists of up to 11.25M units priced at $0.20 per unit. Each unit includes one common share and one-half of one common share purchase warrant. A full warrant allows the holder to acquire an additional common share at an exercise price of $0.25 for 24 months from issuance.
The warrants feature an acceleration clause: if SonicStrategy's common shares trade at or above $0.75 on the CSE for 10 consecutive trading days, the company may issue a press release expediting the warrant expiry date to 30 days following the announcement.
The crypto portion consists of up to 11.25M common shares priced at $0.20 per share, issued without warrants. Contributed digital assets will be valued based on the lower of a fixed reference price and their 10-trading-day volume-weighted average price (VWAP).
Cash raised will fund general working capital and support the growth of SonicStrategy's digital asset treasury and validator operations. Contributed digital assets will be held in treasury or directly deployed into staking and node validation activities.
SonicStrategy may pay eligible finders a cash commission of up to 6.0% of gross proceeds and issue finder warrants equal to up to 6.0% of securities sold through finder introductions, subject to CSE policies.
All securities issued under the offering will be subject to a statutory four-month and one-day hold period under Canadian securities laws.
