Shares of Aquestive Therapeutics (AQST) rose in premarket trading on Wednesday after the company reached an exclusive license agreement with Eton Pharmaceuticals (ETON) covering its anti-seizure medication, Libervant (diazepam) buccal film.
Per the terms, Eton (ETON) will obtain exclusive U.S. commercialization rights to Libervant, which is expected to receive full FDA approval in January with the expiry of an orphan drug exclusivity granted to Valtoco, a rival seizure therapy.
In exchange, Aquestive (AQST) has received an upfront fee of $10.0M from Eton (ETON), and the company is also entitled to receive regulatory and commercial milestone payments worth up to $45M in addition to royalties on annual net sales of the product.
The FDA has already granted tentative approval for Libervant for the acute treatment of seizure clusters in patients with epilepsy aged 2 to 5 years and 12 years and above. A Type 9 New Drug Application is currently under FDA review with a target action date of March 29, 2027, to add ages 6–11 to the product’s label.
In connection with the deal, the company also entered into a supply agreement with Eton (ETON) to serve as the exclusive manufacturer and supplier of Libervant for an initial term of 20 years.
Eton (ETON) expects to launch Libervant next year, subject to final FDA approval.
