Guinea Insurance set to decide directors’ pay, board evaluation

Translate

Shareholders of Guinea Insurance Plc will vote on the remuneration of Non-Executive Directors and the ratification of an external board evaluation consultant at the company’s 68th Annual General Meeting scheduled for 20 November, 2026.

The proposed resolutions form part of the special business listed for consideration at the virtual meeting, according to a notice issued by the insurer.

Shareholders will also consider ratifying the appointment of the Institute of Directors Centre for Corporate Governance as the company’s board evaluation consultant.

The meeting will also consider the re-election of two directors, Mrs Chioma Okigbo and Mrs Ijeoma Pearl Okoro, who are retiring by rotation.

Other resolutions include authorising the board to determine the remuneration of external auditors, disclosing managers’ remuneration and electing shareholder representatives to the statutory audit committee.

The AGM will also provide shareholders with an opportunity to consider the company’s audited financial statements for the year ended 31 December, 2025, alongside reports from the directors, auditors and statutory audit committee.

The company’s register of members will close on 13 November, ahead of the meeting.

Guinea Insurance said shareholders could appoint proxies to attend and vote on their behalf, provided completed proxy forms were submitted at least 48 hours before the AGM.

The insurer also invited shareholders and other security holders to submit questions in writing at least one week before the meeting.

The proceedings will be conducted virtually and streamed live online for shareholders, regulators and other stakeholders.
