Shares of Ingenia Communities Group (INGEF) surged 8.3% in Sydney trading Monday after Australian property developer AVID Property Group submitted a takeover proposal valuing the retirement housing operator at approximately A$2.2 billion ($1.6 billion).

AVID offered A$5.35 per stapled security, plus potential distributions of up to A$0.05 per security before year-end, according to an Ingenia statement. The proposal exceeds a competing A$5.25-per-share offer from private equity firm Warburg Pincus last month. AVID said its bid is supported by a global sovereign wealth fund and an international financial sponsor.

For investors, the competing offers raise the prospect of a higher acquisition price as bidders seek control of Ingenia's portfolio of Australian retirement and residential communities. However, the latest proposal remains conditional, and there is no guarantee that a transaction will be completed.

AVID's bid requires satisfactory due diligence and a unanimous recommendation from Ingenia's board. It also depends on Ingenia terminating an acquisition agreement reached with Peet Limited in August.

Ingenia's board has signed a preliminary agreement granting AVID up to six weeks of limited exclusivity to conduct its review. The company also ended Warburg Pincus' access to its confidential financial information, giving AVID an advantage in the latest stage of the takeover contest.
