NewGenIvf announces pricing of $1.25M public offering of shares and pre-funded warrants

NewGenIvf Group (NIVF) announced the pricing of public offering expected to generate approximately $1.25M in gross proceeds before placement agent fees and offering expenses.

The offering comprises 17.86M ordinary shares or pre-funded warrants in lieu thereof, priced at $0.07 per ordinary share. Pre-funded warrants are priced at $0.06999 each (reflecting the share purchase price minus an exercise price of $0.00001), exercisable immediately until fully converted on a one-for-one basis.

NewGenIvf intends to allocate the net proceeds, alongside existing cash reserves to support a direct investment in K25.ai, the restructuring of existing debt securities, and general corporate purposes.

Additionally, the capital will provide working capital to accelerate the manufacturing and commercial deployment of Nodexus cell-sorting machines within its operations.

The transaction is scheduled to close on or about September 30, 2026.
