ORC moves to strike off 453 companies, dissolves 323 others

Translate

The Office of the Registrar of Companies (ORC) has announced plans to remove 453 companies from Ghana’s Companies Register, while confirming the dissolution of another 323 entities whose names have already been struck off.

The two separate notices, issued under the Companies Act, 2019 (Act 992), affect a total of 776 companies and form part of the statutory process for updating the national register of registered businesses.

In a press release dated November 4, 2026, the ORC said the 453 companies were subject to strike-off proceedings under Section 289(3) of the Act, while the remaining 323 had been struck off following the expiration of the prescribed notice period and now stood dissolved under Section 289(5).

Three-month notice for 453 companies

The Registrar said the names of the 453 companies were published in Volume 48 of the ORC Companies Bulletin on October 15, 2026.

Under Section 289(3), the companies will be struck off the register at the end of three months from the date of the notice, unless cause is shown to the contrary.

The process means the affected companies have a statutory period within which any grounds against their removal must be brought forward before the strike-off takes effect.

323 companies already dissolved

In a separate development, the ORC confirmed that 323 companies had been removed from the register after the notice period provided under Section 289(5) elapsed without cause being shown against their removal.

The Registrar said the intention to strike off the companies had earlier been published in Volume 40 of the ORC Companies Bulletin.

Following the expiration of the period specified in that notice, the companies were struck off the register. Their dissolution was subsequently published in Volume 49 of the bulletin, dated October 15, 2026.

The ORC said the companies therefore stood dissolved in accordance with Section 289(5) of Act 992.

The Registrar’s notice was addressed to corporate entities, creditors, shareholders, members of the public and other relevant stakeholders.

The two actions distinguish between companies still undergoing the strike-off process and those whose removal has been completed and dissolution confirmed.
