Bending Spoons (BSP) has proposed an offering of approximately $1.5B in senior secured notes due 2032, subject to market conditions and other factors.

The offering comprises $1B in U.S. dollar-denominated notes and approximately $500M equivalent in euro-denominated notes. The dollar notes will be issued by Bending Spoons US Inc., while the euro notes will be issued by Bending Spoons Operations S.p.A. Both issuers are indirect wholly owned subsidiaries of Bending Spoons.

Bending Spoons itself will neither issue nor guarantee the notes. Proceeds are intended to fund future acquisitions, cover offering-related costs and taxes, and support general corporate purposes. Interest rates, issue prices and other terms will be determined at pricing, and completion of the offerings is not guaranteed.

BSP shares fell 1.6% premarket.
