Robot Consulting announces receipt of Nasdaq delisting determination
Robot Consulting (LAWR) announced it has received a formal delisting determination from the Listing Qualifications Department of The Nasdaq Stock Market LLC.
The delisting notice was issued under Nasdaq Listing Rules 5101 and IM-5101-4.
According to Nasdaq, the determination stems from concerns over historical trading activity and a determination that certain factors made the company's American Depository Shares vulnerable to third-party market manipulation following a prior temporary SEC trading suspension.
Nasdaq noted that susceptibility to manipulation indicates a lack of liquidity necessary to maintain a fair and orderly market.
Robot Consulting formally appealed the determination to a Hearings Panel on October 23, 2026.
The appeal automatically stays the suspension of the company's ADSs and delays Nasdaq's filing of Form 25-NSE with the SEC pending the panel's review. However, the existing trading halt on the shares will remain in place until lifted by Nasdaq.
Nasdaq has not alleged or communicated any wrongdoing by Robot Consulting regarding the trading activity or its ongoing investigation.
The company confirmed the notice has no immediate impact on its business operations or financial condition, and operations continue in the ordinary course.
