IonQ (IONQ) filed a preliminary prospectus supplement covering 20.5M shares of common stock, 100M warrants to purchase common shares, and 29.5M pre-funded warrants to purchase common shares.
The filing also covers 129.5M shares issuable upon exercise of the warrants and pre-funded warrants. The prospectus supplement is subject to completion.
IonQ estimates net proceeds of approximately $1.99B from the offering, excluding any proceeds from warrant exercises, after underwriting discounts and estimated offering expenses.
The company intends to use the funds, together with existing cash and marketable securities, for working capital and general corporate purposes, including potential strategic acquisitions and partnerships. Pending deployment, the proceeds may be invested in short- and intermediate-term interest-bearing obligations, investment-grade instruments, certificates of deposit, or U.S. government obligations.
IONQ shares fell nearly 5% premarket.
