Ecobank investors may revoke directors’ mandates at AGM
Ecobank Transnational Incorporated has summoned shareholders to its 39th Ordinary General Meeting with a single, significant item on the agenda, which is the proposed revocation of the mandates of directors.
The meeting is scheduled for 26 October, 2026, by video conference, giving shareholders the opportunity to vote on a move that could trigger changes at the top of the pan-African banking group.
Unlike a routine annual general meeting agenda covering accounts, dividends and board appointments, the notice issued by the company is focused specifically on the revocation of directors’ mandates, suggesting that the board composition has become a matter requiring direct shareholder action.
“Notice is hereby given that the thirty-ninth Ordinary General Meeting of Ecobank Transnational Incorporated will be held by video conference on Monday, October 26, at 10:30 am GMT, to transact the following business: 1.
Revocation of the mandates of Directors. Shareholders who intend to attend the online meeting may register at https://ecobank.com/agm from Monday, October 19, 2026,” the bank noted in a notice posted on the Nigerian Exchange on Monday.
The company, however, did not disclose in the notice the names of the affected directors, the number of mandates targeted or the specific circumstances behind the proposed revocation.

That omission leaves shareholders facing a potentially major governance decision without publicly stated reasons for the action, making the meeting particularly important for investors seeking clarity on the bank’s leadership structure.
Shareholders have been asked to submit completed proxy forms stating their voting intentions by close of business on 23 October, either to the company’s registered office in Lomé, Togo, or by email.
The company said shareholders may also submit questions ahead of the meeting through the same email address.
The notice was dated 2 October, 2026, and signed by the Company Secretary, Madibinet Cisse, on behalf of the board.
Until the company provides further explanation, analysts say the 26 October meeting is likely to attract significant attention from shareholders because any decision to revoke directors’ mandates could alter the balance of leadership at one of Africa’s largest banking groups.
